Might have to do with this being mainly a sound forum so far.

What is a "good" camera?
There's better cams for sure, but there's worse cams as well. I mean, it's still MiniDV and not real HD - and not film. Not THAT slutty
Soundwise, I don't think any camera is good enough for film stuff. ENG is another story. But if you want flexibility, you need an external sound recorder.
At least the XL2 has phantom powered XLR inputs (I'm not sure if this is an optional expansion kit or standard, but I've seen one), which many MiniDVs don't have.

mostly I want to make music videos , more or less geared for Myspace.

We go out with a half dozen (or sometimes up to a dozen, like for the recent Alice in Chains gig) of the JVCs linked below for most shoots. For the really high end stuff, the crazy expensive cameras are needed, and rented, but these JVCs we own and they are quite capable for most jobs.

I am working with about 3-4 grand for the camera

I want to use Nuendo for audio

Im not sure what I want to use to edit with .
I m running PC so Im thinking Premiere
what are better options for editing software for PC
I dont want to go HD ,

For music videos of live bands, I would probably like to have at least 2 or 3 cams (and one operator for each...) to have some material to edit. Plus a dedicated audio recorder for a separate mix (which can enhance an instrument in a close shot a little). That means you need a sync point somewhere, like the good old clapperboard. That can also be a drum hit or a rough mix fed to every cam. In theory and professional working, of course, everything should be locked to SMPTE - but then I'd rather hire a professional crew for that, as most MiniDVs don't have SMPTE. What you do is for Internet, isn't it, so nobody will notice smaller defects.
Canon's XL series, however, have the best image quality in the budget MiniDV league - one can also use certain professional lenses on them.

Nuendo is the best thing you can get, if you don't want PT. I don't think you'll need PT if it's not for exchange with other Post facilities (and even there, OMF should work except for plugins, think VST vs TDM).
