I certainly recommend getting a lawyer involved, but there are plenty of templates kicking around, and for such a simple contract (just an assignment of copyrights) you will probably be fine with a simple contract template. As pointed out here though, it's absolutely mandatory to have a contract in place, otherwise the 'exclusivity' doesn't really have any ground for being exclusive.
Have a browse through
these templates as a starting point, and then clarify any specific clauses / get them checked with a lawyer.
