Why on earth would a beat-maker place an exclusive beat WITHOUT a contract? That's crazy. The only thing that's as crazy as that is an artist paying for an exclusive beat WITHOUT a contract. That's two crazy people that probably deserve each other. Best of luck to them both.

Honestly...go to a lawyer. If you don't practice law there is no starting point. There is no template. In an earlier thread I attached some blank producer declarations I have used throughout the years. It's not a long form contract but the legal terminology is still very deep.

I certainly recommend getting a lawyer involved, but there are plenty of templates kicking around, and for such a simple contract (just an assignment of copyrights) you will probably be fine with a simple contract template. As pointed out here though, it's absolutely mandatory to have a contract in place, otherwise the 'exclusivity' doesn't really have any ground for being exclusive.

Have a browse through these templates as a starting point, and then clarify any specific clauses / get them checked with a lawyer.

I used to be like you with not using contracts until I saw some of the crazy things that can happen with all that, used them ever since. Plus its not that hard to get some that work well.
