Thanks for your replies.

Isn't there something a bit cheaper as I am just going to use it for pinguin? Or will a cheaper soundcard affect the transfer of the signal?

The issue is just finding a sound card with AES outputs. To date the offerings tend to be more on the expensive side: i.e. most of Lynx Studio's line, RME AES-32, Digigram, etc. all cost bigger bucks.

One possible solutions is to get a simple spdif to AES converter box and hook it up to a cheap sound card with a spdif output

One such converter is made by Hosa:

Let me see if I got this right. If I buy the converter I will need to connect the spdif out of my RME soundcard into the spdif in of the converter, then the AES out of the coverter to the AES in of the cheap soundcard of the second pc running pinguin?

Or do I got everything wrong?

You're adding an extra step you shouldn't need. If you're trying to send a digital signal from one DAW to a second DAW running a software version of Pinguin why not just get two cheap spdif soundcards - and run a spif cable from DAW1 spdif out to DAW2 spdif in? I thought you were trying to send to hardware meters with AES in's only.

I think SPDIF is basicly unbalanced AES-EBU anyway.

All you need to do is go SPDIF out of your RME soundcard into the SPDIF of your computers soundcard. From there configure Pinguin to see the digital spdif in of your computer.

So all I need is to buy any cheap spdif soundcard and connect that to the spdif out of the RME.

The E-MU 1010 PCI card is $130 and should do what you want.
