I wouldn't call $150 a "substantial" difference...even if the quality and features were exactly the same, it costs more to manufacture, package and ship two separate pieces than one.
As I understand it the main differences are the 16 Firewire returns (versus two) mentioned earlier, a well as more advanced Firewire/direct out routing flexibility, two DI inputs, and Pro Tools compatibility. I'm not sure if the quality has been improved substantially, if at all...
